End User License Agreement

GRIZZLY AUDIO – EULA

We have tried to make these terms as user friendly as possible, as composers and producers ourselves with understand how it can be frustrating to try and read through a user agreement that feels like you need a law degree to understand.

In Summary:

The sounds in our sample packs and libraries are intended to be used within your musical compositions and audio-visual projects and are not to be re-sold in any form as part of a sample library, sample pack or separate sound files. If you deliver your music and include stems that make up the full track this is fine as long as they are being licensed as part of the full track.

We make this EULA accessible to you via our website before purchase so by downloading, installing, or using the Library, you agree to be bound by this Agreement. If you do not accept these terms, please do not download, install, or use the Library.

This End User Licence Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “you”) and GRIZZY AUDIO (“Licensor” or “we”, “our” or “us”), governing your use of the audio sample library known as [“ORIGINS”] (the “Library”).

  1. GRANT OF LICENCE

Subject to your compliance with the terms of this Agreement, Licensor grants you a non-transferable, non-exclusive, non-sublicensable, royalty-free licence to use the Library for the creation of musical compositions, productions, remixes or other audio-visual projects.

  1. PERMITTED USES

You may:

Incorporate the samples into your own musical and audio-visual works.

Edit, modify, manipulate, or process the samples as part of your creative process.

Distribute your finished works (that include the samples as part of a larger composition) commercially and non-commercially.

Synchronise the samples within media such as films, TV, video games, YouTube videos, podcasts, or live performances.

  1. PROHIBITED USES

You may not:

Resell, repackage, sub-license, share, or otherwise redistribute the samples in isolation or as part of another sample library, sound pack, or composer template.

Make the samples available on file-sharing platforms or public databases.

Use the samples to train AI or machine learning models without explicit written permission.

Use the samples in a way that infringes upon the intellectual property or moral rights of others.

Use the samples in a way that contravenes any of the licensees local laws.

  1. OWNERSHIP AND INTELLECTUAL PROPERTY

All samples in the Library remain the sole property of the Licensor and are protected by copyright and other intellectual property laws. You acquire no ownership rights, only the limited licence granted herein.

  1. MULTIPLE LICENSE USERS

Single-User License Restriction

The audio sample pack is licensed for use by a single user only. Sharing, distributing, or allowing access to the contents of the sample pack by multiple individuals under a single-user license is strictly prohibited.

Multi-User Licenses

If you represent an organization, company, studio, or collective requiring access to the sample pack by more than one individual, a multi-user license must be obtained. Each authorized user under a multi-user license must be an employee, contractor, or official member of the licensee’s organization.

  1. TERMINATION

This licence is effective until terminated. It will terminate automatically without notice if you breach any of the terms. Upon termination, you must delete all copies of the Library and any sample files from your systems, backups, and storage devices.

  1. DISCLAIMER & LIMITATION OF LIABILITY

The Library is provided “as is” and without warranties of any kind, either express or implied. Licensor shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Library.

  1. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. GENERAL

If any provision of this Agreement is held to be unenforceable, the remainder shall continue in full force and effect.

This Agreement constitutes the entire understanding between you and the Licensor and supersedes any prior communications.

  1. USE IN AI TRAINING DATA

This license does not cover use of the Library in isolation or any non-musical context as part of any AI training data. You may not under any circumstances use the Library to train AI or machine learning models without explicit written permission.

ADVICE ONLY

We also advise when using our samples in a piece of music to try and avoid using them unaltered and in isolation. This is however is only our advice to help avoid audio recognition software (such as YouTubes content ID system) matching the samples in someone else’s work to your own, if you’ve used the same exposed sample. When these automated systems do detect these matches, they can trigger copyright infringement warnings and takedowns which can be a hassle for content owners to rectify. We feel this advice is reasonable for all sample library use.
